Terms of Service

1. Agreement

These terms govern your use of Vettaly (the "Service"), operated by Panorai LLC ("we", "us"). By creating an account, running a check or buying a plan you agree to them. If you use the Service for an organization, you accept them on its behalf and confirm you are authorized to do so.

2. Accounts

You must be at least 16 and give accurate information. Keep your password secure; you are responsible for activity under your account. The owner of an organization is responsible for the members they invite and for the organization's plan.

3. What the Service does

Vettaly analyses the raw HTML a server returns, scores it against published rules, and combines it with ranking, backlink, keyword and traffic data from third parties. Results are information, not advice. We do not guarantee rankings, traffic or any other outcome, and third-party data can be delayed or incomplete — for example, Search Console data usually lags by two to three days.

4. Acceptable use

You agree not to:

• use the Service to overload, attack or probe the security of any website or network;
• try to reach non-public resources, or get around access controls, quotas or rate limits — including by opening multiple free accounts;
• resell or redistribute the Service or its data in bulk, except as your plan explicitly allows;
• scrape, reverse-engineer or interfere with the Service;
• use it for anything unlawful, or to infringe anyone's rights.

Our crawler identifies itself, honours robots.txt and Crawl-delay, and is rate-limited per domain. We may suspend accounts that break these rules.

5. Your content and data

You keep all rights to what you add to the Service and to data from accounts you connect. You give us permission to process it only to provide the Service to you. We may also use aggregated, de-identified statistics — such as how often each type of opportunity succeeds across all customers — to improve the Service. These statistics never identify you or your sites. The Privacy Policy explains how personal data is handled.

6. AI features

AI suggestions, content briefs and similar features are generated by a third-party model and can be wrong. Review them before acting on them. They run only when you start them, cost AI credits when they succeed, and cost nothing when they fail. Estimates shown before a run are approximate.

7. Plans, billing and credits

• Paid plans are billed monthly in advance and renew automatically until cancelled. You can cancel at any time; the plan stays active until the end of the paid period and is not refunded pro rata.
• Purchases are processed by Stripe as merchant of record. Stripe's terms apply to the payment, and Stripe calculates and collects sales tax or VAT and issues invoices and receipts.
• AI credits included with a paid plan are granted each billing period and expire at the end of it. Purchased credit packs do not expire. No credits have cash value or can be transferred.
• Payments are non-refundable except where the law requires otherwise. If you think you were charged in error, contact us and we will work with Stripe to resolve it.
• If a payment fails, we may move the organization to the Free plan until it is settled.
• We may change prices or plan limits. Price changes for existing subscriptions take effect at the next renewal after at least 30 days' notice.

8. Free plan and guest checks

The Free plan and guest checks are offered as they are, and their limits may change. Guest reports are deleted after 24 hours.

9. Third-party services

Connecting Google Search Console, Google Analytics or other services is optional and also subject to those services' terms. We are not responsible for their availability or for the data they return.

10. Our intellectual property

The Service, its software, rules, design and brand belong to Panorai LLC. You may use reports you generate for your own and your clients' purposes. If you send us feedback, we may use it without obligation to you.

11. Suspension and termination

You can stop using the Service at any time and ask us to delete your account at [email protected]. We may suspend or end your access if you break these terms, if your use puts the Service or others at risk, or if the law requires it. Where reasonable we will warn you first. Sections that by their nature should survive termination will survive it.

12. Disclaimer

The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not promise that the Service will be uninterrupted or error-free.

13. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, rankings or data. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and USD 100. Nothing in these terms limits liability that cannot be limited by law.

14. Indemnity

You will defend and indemnify us against third-party claims arising from your misuse of the Service or your breach of these terms.

15. Changes to these terms

We may update these terms. For material changes we will notify account holders at least 30 days before they take effect. Continuing to use the Service after that means you accept the new terms.

16. Governing law

These terms are governed by the laws of the State of Wyoming, USA, and disputes will be resolved by the courts there. If you are a consumer, you keep any mandatory protections and rights to bring proceedings that the law of your country gives you.

17. Language

These terms are written in English. Translations are provided for convenience; if they differ, the English version prevails.
